1. Legal nature of this document

This Agreement sets out the terms and conditions ("Terms") for access to and use of https://palagindia.com (the "Website") and related services operated by Shri Balaji Overseas Trading Company ("Pala-G India", "Company", "we", "us"). This document is an electronic record under the Information Technology Act, 2000 and rules applicable as amended from time to time, generated by a computer system and does not require a physical or digital signature. It is published in line with Rule 3(1) of the Information Technology (Intermediary Guidelines and Digital Media Ethics Code) Rules, 2021, regarding rules and regulations, privacy policy, and terms of access or use of the Website.

2. Definitions

  • Products: dry fruits, nuts, seeds, gift hampers, and related food items listed on the Website, as updated from time to time.
  • Services: browsing the Website, enquiry forms, cart/checkout, wholesale or RFQ flows, and customer support channels we provide.
  • User / You: any person who accesses or uses the Website or places an order or enquiry with us.
  • Personally identifiable information (PII): information that identifies or can be used to identify you, as described in our Privacy Policy.
  • Territory: unless agreed otherwise in writing (e.g. export RFQs), retail fulfilment and these Terms are focused on delivery within India.

3. Agreement to the Terms

By accessing, browsing, or using the Website, or by submitting an order or enquiry, you confirm that you have read, understood, and agree to be bound by these Terms and by our Privacy Policy, which is incorporated by reference. If you do not agree, you must stop using the Website immediately.

We may add, change, or withdraw features of the Website or Services. Continued use after we post updated Terms constitutes acceptance of the revised Terms, except where applicable law requires separate consent.

4. Eligibility

Use of the Website and formation of contracts is available only to persons competent to contract under the Indian Contract Act, 1872. You represent that you are at least 18 years of age and are not barred from using the Services under applicable law.

If you use the Website on behalf of a minor, you confirm that you are the parent or lawful guardian and accept these Terms on their behalf. 5. Accounts, registration, and security

We may refuse service, cancel orders, suspend or terminate accounts, or block access if we reasonably believe there is fraud, abuse, illegal activity, or breach of these Terms.

Even if you check out as a guest (where permitted), these Terms apply to that transaction and to PII you provide at checkout or over WhatsApp/email.

6. Product information, pricing, and orders

We aim to describe Products accurately (including images, weights, and ingredients where shown). Agricultural and processed foods may vary by batch; screen colours may differ from physical packaging. Packaging artwork may change without the Website being updated immediately.

Display of a Product is an invitation to offer. An order is an offer from you. We may accept or reject it (for example due to stock, service area, pricing error, or risk checks). A contract is formed when we confirm acceptance (e.g. order confirmation or dispatch communication), unless applicable law provides otherwise.

Prices, taxes (including GST as applicable), discounts, and shipping fees are those indicated at checkout or in your written quotation for B2B orders. We may correct obvious typographical or system pricing errors before acceptance.

7. Payment

Payments are processed by third-party payment gateways or banks ā€” primarily Razorpay, which is PCI-DSS compliant. You confirm that payment details you provide are accurate and that you are lawfully entitled to use the chosen payment method.

Card, UPI, net banking, or wallet credentials are handled by regulated payment partners. We do not ask you to share full card numbers or CVV by email or WhatsApp. Liability for fraudulent use of a payment instrument lies with the unauthorised user unless you prove otherwise to the satisfaction of your bank and applicable law.

We are not responsible for refusal or failure of a transaction due to limits set by your bank, insufficient funds, incorrect details, or network errors. The Website shall not be liable for special or consequential loss solely due to payment decline if Products were not supplied.

8. Shipping, delivery, and risk

Delivery timelines, carrier handover, addresses, and risk are governed by our shipping policy and applicable law. Title and risk pass as set out there or in your B2B documentation.

9. Returns, refunds, and cancellations

Our refund & cancellation policy applies to consumer orders. Wholesale, corporate, or export orders may follow separate written terms. Nothing in these Terms excludes statutory rights available to consumers under Indian law.

10. Wholesale and export

B2B, bulk, and export transactions may be governed by quotations, proformas, purchase orders, or contracts. If those conflict with these Terms on a specific matter, the transaction-specific document prevails for that matter.

11. Intellectual property

All content on the Website (including text, graphics, logos, icons, images, audio/video clips, software, and layout) is owned by us or our licensors. You receive a limited, revocable licence to access the Website for personal, non-commercial shopping or legitimate business enquiry. You may not copy, scrape, reverse engineer, frame, or exploit our content or trademarks except as allowed by law or with our written consent. The "Pala-G" trademark is a registered trademark of Shri Balaji Overseas Trading Company (Class 29, India).

12. Acceptable use

You agree not to:

  • Use the Website for unlawful purposes or to transmit harmful code, spam, or misleading content.
  • Attempt unauthorised access to our systems, other users' data, or payment flows.
  • Use automated means to access the Website in a way that impairs performance or circumvents technical limits.
  • Impersonate any person or misrepresent affiliation with any entity.

13. Communications and marketing

By providing your phone number, email, or WhatsApp details, you agree that we and our service providers may contact you regarding orders, delivery, service, security, and (where permitted by law) offers and marketing. For promotional SMS or telephone communications, we will comply with applicable TRAI regulations and applicable law, including maintaining opt-out mechanisms where required. Transactional and service messages may be sent without separate opt-in where the law allows.

You indemnify us against claims arising from your providing wrong contact details or from misuse of messaging by third parties beyond our reasonable control, except where prohibited by law.

14. Privacy

Our collection, use, storage, and disclosure of PII is described in the Privacy Policy, including sharing with logistics, payments, hosting, and analytics partners as needed to operate the business.

15. Third-party services

The Website may link to or embed third-party tools (e.g. payment pages, maps, social plugins). Those services have their own terms. We are not responsible for third-party content, availability, or practices except as required by law.

16. Disclaimer of warranties

To the fullest extent permitted by law, the Website and Services are provided on an "as is" and "as available" basis. 17. Limitation of liability

Our aggregate liability for any claim arising out of or relating to a specific order placed by you on the Website shall not exceed the total amount actually paid by you to us for that order (excluding third-party fees we merely pass through). This cap does not apply where law prohibits such limitation (including certain consumer protection claims).

18. Indemnity

You agree to indemnify and hold harmless Shri Balaji Overseas Trading Company and its affiliates, officers, and employees from claims, damages, losses, costs, and expenses (including reasonable legal fees) arising from your breach of these Terms, misuse of the Website, violation of law, or infringement of third-party rights, except to the extent caused by our gross negligence or wilful misconduct as finally determined by a competent court.

19. Force majeure

We are not liable for delay or failure to perform due to events beyond our reasonable control, including natural disasters, epidemics, government actions, war, riots, strikes, internet or telecom failures, cyber incidents beyond our reasonable control, or carrier disruptions.

20. Changes, suspension, and termination

We may modify these Terms or related policies. Material changes will be indicated by updating the "Last updated" date and, where the law requires, by additional notice. If you continue to use the Website after changes, you accept the revised Terms. We may suspend or discontinue the Website or any feature with or without notice, except where law requires otherwise.

21. Governing law and jurisdiction

These Terms are governed by the laws of India. Subject to mandatory consumer protections that may require a different forum for certain users, courts at New Delhi, India shall have exclusive jurisdiction over disputes arising out of or relating to these Terms or the Website.

22. Entire agreement and survival

These Terms, together with the Privacy Policy, shipping policy, refund policy, and any order-specific confirmation, constitute the entire agreement between you and us regarding the subject matter. Provisions that by their nature should survive (including intellectual property, indemnity, limitation of liability where enforceable, and governing law) survive termination.
